1. The service and this agreement

Chyt.ai is developed and offered by THOMPSON CONSULTING (OPC) PRIVATE LIMITED, referred to in these terms as “Thompson Consulting”, “we” or “us”. Our registered office is A5, S. No. 16/2, First Floor, Swapnamandir Society, Deccan Gymkhana, Pune, Maharashtra 411004, India. Our CIN is U62010PN2026OPC251118.

These terms govern your access to Chyt.ai, including its website application, chatbot tools, flow builder, widgets, APIs and related documentation. You agree to this version when you affirmatively accept it in the service. You must be legally able to enter into this agreement. If you accept on behalf of an organization, you confirm that you have authority to bind that organization; otherwise your acceptance is in your individual capacity and does not itself grant that authority. Your workspace role determines what you can do in the product.

A separately signed agreement with us takes precedence over these terms to the extent of a conflict. The Privacy Notice explains data handling. Acknowledging that notice is not consent to marketing or permission to use personal information for unrelated purposes.

2. Chyt.ai intellectual property

As between you and us, Thompson Consulting and its licensors retain all rights, title and interest in the Chyt.ai platform and its protected elements, including software and source code, original interface artwork and designs, documentation, platform-authored templates, and underlying flow, automation and AI orchestration implementations. The Chyt.ai name, logos and other brand assets remain the property of their respective rights holders. All rights not expressly granted are reserved. Access to the service does not transfer ownership of the platform or its intellectual property to you.

These terms do not claim exclusive ownership of general ideas, facts, methods, or features that applicable law does not protect. They do not claim that a copyright, patent or trademark registration has been obtained. Third-party software, models, content and open-source components remain subject to their applicable rights and licences; these terms do not take away permissions those licences give you.

3. Your permission to use the service

While you comply with these terms and the applicable plan, we grant you a limited, non-exclusive permission to access and use Chyt.ai for your lawful business or personal purposes. You may configure assistants and flows, publish the provided widget on sites you are authorized to manage, and allow your intended users to interact with them. Agency, client-workspace, API, white-label and redistribution uses are permitted to the extent supported by your plan or separately agreed with us. This is a service-access permission, not a sale or licence to the platform's source code.

Except as expressly permitted by us, an applicable third-party licence or applicable law, you must not copy, sell, sublicense or redistribute the platform or its protected assets; make derivative versions of its software; remove proprietary notices; or reverse engineer, decompile or attempt to extract its source code, private model instructions or non-public implementation. This restriction does not prohibit your use or export of your own content and flow configurations through available product features, or lawful independent development that does not misuse protected material.

Do not use our names or logos to imply sponsorship or endorsement without our permission. Normal attribution, the provided widget branding, plan-supported white-labelling and uses permitted by law remain allowed.

4. Your content, flows and generated results

You retain the rights you have in the documents, website content, prompts, business rules, conversation content and other materials you provide. As between you and us, your original flow configurations and business-specific content remain yours; using the flow builder or its AI-assisted creation feature does not transfer them to us. Pre-existing Chyt.ai templates, platform components and third-party materials incorporated in a flow retain their respective ownership and licence conditions.

You grant us permission to host, reproduce, process, transmit and display your content only as reasonably needed to provide, secure and support the service, carry out your settings and instructions, and meet legal obligations. This includes processing by the service providers described in the Privacy Notice and integrations you choose. This permission does not give us ownership of your content or blanket permission to publish it or use it for unrelated marketing.

You are responsible for having the rights and permissions needed for the content you upload, connect or publish, and for the lawful collection and use of your visitors' information. Do not upload another person's confidential information without authorization.

You may use generated responses and AI-assisted flow content for your permitted purposes, subject to applicable law and third-party rights and terms. AI output may be inaccurate, non-unique or ineligible for copyright protection; we do not promise exclusive rights in it. Review outputs and test flows before publishing or relying on them. These terms do not transfer third-party rights that neither of us owns.

If you voluntarily send product suggestions or feedback, you permit us to use that feedback to improve the service without an obligation to compensate or credit you. This permission does not transfer your confidential business content or other intellectual property to us.

5. Accounts and acceptable use

Keep your account information accurate and protect your sign-in credentials. Workspace administrators are responsible for assigning appropriate access and for the configuration and use they authorize. Tell us promptly if you suspect unauthorized access. An invitation grants only the role assigned in that workspace; it is not permission to access other workspaces or data.

Do not use Chyt.ai for unlawful, infringing, deceptive, abusive or harmful activities. Do not attempt unauthorized access, bypass authentication or usage safeguards, introduce malicious code, extract private data, or disrupt the service or other users. Use approved interfaces and respect the resource, security and provider limits that apply to your plan.

Chatbot operators must provide appropriate notices, obtain any required consents, and review the answers, actions, lead collection and handoffs configured for their users. Our contact-verification form does not provide a general marketing consent or replace the operator's legal responsibilities.

6. AI, deterministic flows and external services

Chyt.ai supports both deterministic flows and AI-powered conversations. A flow can run its configured fixed steps without an AI model call. AI-assisted creation and any explicit AI, knowledge-retrieval or fallback step may consume the applicable AI allowance. A flow containing such a step is not necessarily free of AI usage. Plan descriptions and the Billing page explain the applicable allowances and resource limits.

AI responses can contain errors or omit information. You are responsible for appropriate human review, particularly before decisions with significant consequences. Availability and behavior can depend on connected AI, hosting, payment and communication providers. Your use of connected services is also subject to their applicable terms and account requirements.

7. Plans, payments and service availability

Features, allowances, trial duration and fees depend on the offer or plan you select. Review the amount, billing period and renewal details displayed before confirming a subscription or payment mandate. An individually agreed trial or onboarding offer applies according to its stated scope and duration; it does not create a permanent free-service entitlement.

Published paid subscription base prices exclude applicable GST. Applicable tax and the final recurring total are shown before you confirm a new payment mandate. Existing mandates are not automatically repriced when tax billing or your billing details change. If a payment status is unclear, contact support before trying again. Use the available Billing controls or contact support to request help with cancellation or billing questions; mandatory statutory rights are unaffected.

The service can change or be interrupted. Unless separately agreed in writing, these terms do not promise uninterrupted or error-free operation, a particular business result, an uptime service level or a support-response time. Nothing in these terms excludes a right, remedy or liability that applicable law does not permit us to exclude.

8. Suspension, ending use and data

You may stop using the service. Stopping use or deleting a chatbot does not itself cancel a payment mandate; use the relevant cancellation process. We may restrict or suspend access where reasonably necessary to address a security threat, unlawful use, a material breach of these terms or non-payment. Where practicable and legally permitted, we will give notice and an opportunity to resolve the issue.

When your right to use the service ends, permission to access the platform ends. This does not transfer your content to us. Data export, deletion and retention are subject to the current product capabilities, the Privacy Notice, applicable law and any separate agreement. Do not assume that deleting a workspace immediately removes all backups, provider records, invoices or agreement records. Contact us about required export or deletion arrangements before ending access.

Provisions concerning ownership, restrictions on misuse of protected material, outstanding payment obligations, retained records and rights that by their nature survive ending access continue to apply.

9. Versions, acceptance and applicable law

We keep a versioned copy of these terms and the Privacy Notice. Our acceptance record identifies the account or verified demo, the versions and document fingerprints presented, the server-recorded time, and the acceptance method. We do not treat an earlier account creation or invitation as acceptance of a later version. When the service requires updated terms, it presents them for fresh acceptance before account use continues. Contact us if you do not accept an update and need help with an existing subscription or your data.

These terms are governed by the laws of India, subject to any mandatory protections and jurisdiction rules that apply to you. Contact us first to try to resolve a concern. Nothing here requires you to waive a statutory complaint process or a remedy available in a competent court. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
